Terms of Service

The short version: use your real identity, email people responsibly and within U.S. anti-spam law, honor unsubscribes, pay for what you use, and we'll give you a platform that works to earn you the inbox. The full legal detail follows.

These Terms of Service (the "Terms") are a binding legal agreement between Xuxil Inc., a corporation organized under the laws of the State of Delaware, United States ("Xuxil", "Norbelys", "we", "us" or "our"), and the individual or entity that accesses or uses the Service ("Customer", "you" or "your"). They govern your access to and use of the website at norbelys.com (the "Site") and the email outreach platform at app.norbelys.com, together with all related applications, APIs, tools and services (collectively, the "Service").

Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Definitions

  • "Account"means the registration that allows you to access and use the Service.
  • "Customer Data"means the contacts, prospect lists, message content, templates and related data you upload to, create in, or transmit through the Service.
  • "Recipient"means an individual to whom you send email through the Service.
  • "Documentation"means the usage guides and policies we make available for the Service.
  • "CAN-SPAM"means the U.S. Controlling the Assault of Non-Solicited Pornography And Marketing Act of 2003, 15 U.S.C. § 7701 et seq., and its implementing regulations, as amended.
  • "Applicable Law"means all laws, rules and regulations applicable to a party's use or provision of the Service, including CAN-SPAM, the CCPA, the GDPR, PECR and CASL, as applicable.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you accept these Terms on behalf of a company or other legal entity, you represent that you are authorized to bind that entity, and "you" refers to that entity. You are responsible for the accuracy of your registration information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your Account. Notify us promptly at hello@norbelys.com of any unauthorized use.

3. The Service and license

Norbelys is an email outreach platform: you connect your own mailboxes, import contacts, and send campaigns and sequences, with pacing, reputation protection, engagement analytics and a unified inbox. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes during the term. We may continuously improve the Service and change features over time; we will not remove core functionality you have paid for without notice. All rights not expressly granted are reserved.

4. Acceptable use — the anti-spam rules

We are a U.S. company, and U.S. law already draws the line. CAN-SPAM requires accurate transmission and header information, non-deceptive subject lines, identification of the message as an advertisement where applicable, a valid physical postal address, and a working opt-out that you honor. Deliverability is also a shared resource — one spammer harms every honest sender on the platform. These rules are therefore conditions of use, not suggestions. You agree that you will:

  • comply with all Applicable Law in your and your Recipients' jurisdictions, including CAN-SPAM and, where relevant, the GDPR, PECR and CASL;
  • send only to Recipients you have a lawful basis to contact, using accurate "from," "reply-to" and routing information and truthful, non-deceptive subject lines;
  • include a valid physical postal address and a functioning unsubscribe mechanism in your messages, and honor opt-out requests — CAN-SPAM allows up to 10 business days, but the platform enforces suppression automatically and immediately, and you must not circumvent it;
  • not send content that is illegal, fraudulent, deceptive, defamatory, infringing, or malicious (including phishing, malware or spyware);
  • not harvest, scrape or use dictionary attacks to collect addresses, and not use purchased or rented lists without a lawful basis — address harvesting, dictionary attacks and false registration are aggravated violations of CAN-SPAM that carry criminal exposure;
  • not send to Recipients on suppression lists, and not use the Service to send unsolicited bulk messages that violate mailbox-provider bulk sender requirements; and
  • not interfere with or circumvent the platform's protective machinery (rate limits, reputation pausing, verification, warmup), probe or breach its security, or resell or provide the Service to third parties except as expressly permitted for agency accounts.

You are solely responsible for your Customer Data, your Recipients, and the content, subject matter and legal basis of every message you send.

5. Suspension and enforcement

We may investigate suspected violations and may slow, throttle, pause or suspend sending — or suspend or terminate your Account — where bounce rates, spam complaints, content or other signals indicate abuse, a violation of Section 4, a risk to the platform's reputation or security, or a legal requirement. Where the issue is fixable, we will tell you what we observed and, in good-faith cases, give you an opportunity to cure; for deliberate spam, fraud or abuse, we may act immediately and without refund.

6. Customer Data and intellectual property

As between the parties, you retain all right, title and interest in and to your Customer Data, and we retain all right, title and interest in and to the Service, the Site, our software, and all related intellectual property. You grant us a limited, worldwide, royalty-free license to host, process, transmit, display and otherwise use Customer Data solely to provide, secure and improve the Service and as instructed by you. You represent and warrant that you have all rights, consents and lawful bases necessary for us to process your Customer Data as contemplated by these Terms. You may export your Customer Data at any time while your Account is active.

7. Data protection

We process personal data as described in the Privacy Policy. Where we process Customer Data on your behalf, you are the controller and we are the processor: we process it only on your documented instructions to provide the Service, we do not sell it, and we do not share it between customer accounts. If you are subject to the GDPR, the CCPA or a similar law and require a signed data processing agreement, contact us and we will make our standard terms available. You are responsible for providing any privacy notices to, and obtaining any consents from, your Recipients that Applicable Law requires.

8. Fees, billing and taxes

  • Plans are billed in advance, monthly or annually, at the prices shown on the pricing page. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.
  • You can cancel at any time; your plan remains active until the end of the paid period. Except where required by law, fees are non-refundable and we do not refund partial periods.
  • There is no free plan or trial — a deliberate anti-spam choice, not an oversight.
  • Fees are exclusive of taxes; you are responsible for all applicable sales, use, VAT and similar taxes, other than taxes on our net income.
  • We may change prices; changes apply from your next renewal, with prior notice. Undisputed overdue amounts may result in suspension.

9. Third-party services

The Service integrates with third-party services (for example, mailbox providers, authentication, payment and analytics providers, and CRMs). Your use of those services is governed by their own terms, and we are not responsible for them. You are responsible for maintaining any third-party accounts and for complying with the terms and sending policies of your mailbox providers.

10. Confidentiality

Each party may receive non-public information of the other that is designated confidential or that reasonably should be understood to be confidential. The receiving party will protect such information with at least reasonable care, use it only to exercise its rights and perform its obligations under these Terms, and not disclose it except to personnel and advisors who need to know and are bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, already known, independently developed, or required to be disclosed by law.

11. Warranties and disclaimers

We work hard to earn you the inbox — warmup, continuous inbox-placement testing, reputation pausing and honest analytics all exist so your mail lands with real people. However, no platform can guarantee inbox placement; deliverability also depends on your domain history, list quality and copy, and on third-party mailbox providers we do not control. Anyone who promises you a guaranteed inbox is misleading you.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY MESSAGE WILL REACH A PARTICULAR FOLDER OR RECIPIENT. We work hard to keep the Service available but do not promise zero downtime.

12. Indemnification

You will defend, indemnify and hold harmless Xuxil Inc. and its officers, directors, employees and agents from and against any claims, damages, liabilities, losses, and reasonable costs and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Data; (b) your use of the Service in violation of these Terms or Applicable Law, including CAN-SPAM and data-protection law; (c) the content of, or your legal basis for, the messages you send; or (d) your violation of the rights of any third party, including any Recipient.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND YOUR INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Term and termination

These Terms apply while you use the Service. You may delete your Account at any time, which deletes your organization's Customer Data as described in the Privacy Policy. We may suspend or terminate your Account as described in Section 5, or on notice for convenience. On termination, your right to use the Service ceases; provisions that by their nature should survive (including Sections 6, 7, and 10 through 16) will survive.

15. Dispute resolution

Informal resolution first.Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@norbelys.com ; we will do the same. If a dispute is not resolved within 30 days, either party may pursue the remedies below.

Governing law and venue.These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules and excluding the U.N. Convention on Contracts for the International Sale of Goods. Except where prohibited by Applicable Law, you and Xuxil Inc. agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and each party consents to personal jurisdiction and venue there. Nothing in these Terms limits any non-waivable rights you have under the mandatory law of your place of residence.

16. General

  • Entire agreement.These Terms, the Privacy Policy and any order or plan you purchase are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject.
  • Changes to these Terms.We may update these Terms as the Service evolves; material changes will be announced by notice on the Site or by email before they take effect. Continuing to use the Service after that means you accept the updated Terms.
  • Assignment.You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
  • Force majeure.Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Severability and waiver.If any provision is held unenforceable, the rest remain in effect; failure to enforce a provision is not a waiver.
  • Relationship and notices.The parties are independent contractors. Legal notices to us should be sent to hello@norbelys.com ; we may give notice to you by email or through the Service.
